The Disclosing Party and the Receiving Party may collectively be referred to as the "Parties" or individually as a "Party".

- Definition of Confidential Information. - Non-disclosure and Non-use Obligations. The Receiving Party agrees to hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. The Receiving Party shall carefully restrict access to Confidential Information to those of its officers, employees, and agents who are subject to non-disclosure restrictions at least as protective as those set forth in this Agreement.
- Duration of Agreement. The obligations of this Agreement shall survive __________ (____) years from the Effective Date or until the disclosing party sends the receiving party written notice releasing them from this Agreement.
- Governing Law. This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of North Dakota, without regard to its conflict of laws principles.
